1.Who we are and what this covers
These Terms of Service (the Terms) are a legal agreement between you and Bridgeye Private Limited (Bridgeye, we, us), a company incorporated under the Companies Act, 2013, with its registered office in Ponda, Goa, India.
They apply to NOVA (the app for building sites, apps and documents in your browser), NOVA CLI (the command-line tool), NOVA Web (sign-in, accounts and billing), the NOVA API, this website, and any related service we provide (together, the Services).
By creating an account, installing the CLI, or otherwise using the Services, you accept these Terms and our Privacy Policy. If you use NOVA on behalf of an organisation, you confirm you may bind it, and “you” includes that organisation. If you do not agree, do not use the Services.
2.Definitions
| Term | Meaning |
|---|---|
| Input | Anything you give NOVA: prompts, commands, code, files, attachments, images, repository contents you choose to share, and instructions. |
| Output | Anything NOVA returns: code, fixes, files, documents, sites, apps, images, video and messages. |
| Content | Your Input, your Output, and the projects, sites and apps you create or store with the Services. |
| Model Provider | A company whose AI model processes a request, directly or through a routing service such as OpenRouter. See section 6. |
| Credits | The unit NOVA uses to measure and charge for work. See section 7. |
| Plan | Your subscription tier (for example Free, Starter, Pro or Max) as described on the pricing page at the time. |
| Hosted App | A site or application you publish with NOVA, including any data its own users store in it. |
3.Your account
- You sign in with GitHub or Google. We receive your name, email address, profile picture and account identifier from that provider, and nothing that lets us sign in as you elsewhere.
- Keep your account to yourself. You are responsible for everything done through it, including by anyone you invite as a collaborator on a project.
- Tell us straight away at support@bridgeye.com if you think someone else has used your account.
- Give us accurate details, particularly your email address and your billing address at checkout: we use them for receipts, tax invoices and notices under these Terms.
- One person, one free account. Creating accounts to multiply free allowances is a breach of these Terms.
Age
You must be at least 18 to use the Services on your own. If you are between 13 and 18, you may use them only with the consent and supervision of a parent or legal guardian, who accepts these Terms on your behalf. The Services are not for children under 13. Some features, such as image and video generation, are restricted to adults.
4.Your content and what you own
You own your Content. As between you and Bridgeye, you keep all rights in your Input, and we assign to you any rights we may have in the Output generated for you. You may use Output for any lawful purpose, including commercially, without attribution to NOVA.
To run the Services we need a limited permission from you. You grant Bridgeye a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display your Content only as needed to:
- provide the Services to you, including sending Input to the Model Provider that handles your request;
- store your projects, publish the sites and apps you choose to publish, and keep the history you can see in your account;
- keep the Services secure, investigate abuse and fix problems you report; and
- comply with the law.
What this licence does not allow: we do not sell your Content, we do not use your code or Content to train AI models, and we do not share it with anyone except as needed to provide the Services or as the law requires.
You are responsible for your Content and for having the rights to it. Do not give NOVA code, data or material you are not allowed to share with a third-party AI provider — for example code under a confidentiality obligation that forbids it, or other people’s personal data without a lawful basis.
Output may be similar to output produced for other users, and you may not have exclusive rights in material that is not protectable. Keep your own copies of anything important: NOVA is not a backup service.
5.How NOVA works
Understanding this helps you understand the rest of these Terms and the Privacy Policy.
- NOVA CLI runs on your computer. It reads the project you point it at, chooses the context a task needs, and sends that context with your instruction to the NOVA API. Changes are written to your files on your machine.
- NOVA runs in your browser and on our servers. Your projects, files, chat history and published sites are stored with us so you can come back to them.
- The NOVA API checks your plan and credits, sends each request to the right AI model, and charges the credits it used.
- AI models are provided by third parties (section 6). Which model runs depends on the model you pick, your plan, and NOVA’s defaults.
NOVA Web, the NOVA API, NOVA and this website run in Boston (USA). Live availability of each, and of every AI model, is on our status page.
6.AI models and third-party providers
NOVA gives you access to many AI models from different companies. When a model processes your request, the Input needed for that request — your prompt, the relevant code or files, and attachments — is sent to that model’s provider, and the Output comes back through us.
- We reach most models through OpenRouter, which forwards each request to the model’s provider — for example Anthropic, OpenAI, Google, Moonshot AI, DeepSeek and others shown in the model picker. We also use some providers directly, including Groq, NVIDIA and OpenAI.
- Each provider processes data under its own terms and privacy policy. We choose providers and settings that do not allow your data to be used to train their models where that choice is available, but we cannot control or guarantee every provider’s practices.
- Some providers process data outside India, including in the United States, Europe and China. Using a model means accepting that its provider processes the request.
- Models change. We may add, replace, reprice or retire models, and a model you used may stop being available.
- More capable models cost more credits per request. The model picker shows how a model’s cost compares before you use it.
AI output can be wrong, insecure, biased or incomplete, even when it looks confident. You are responsible for reviewing, testing and deciding whether to use it — especially for anything that runs in production, handles money, or affects other people.
7.Plans, credits and usage
Current plans, prices and credit allowances are listed at our pricing page. What a plan includes is what that page and your account page show for your plan.
- Daily allowance. Your plan gives you a number of credits each day. It resets at 00:00 UTC and does not carry over.
- Purchased credits. Credits you buy are added to a separate balance that does not expire while your account is open. They are used only after your daily allowance for the day is spent.
- What costs credits. Model requests from the CLI and Play, builds, edits, fixes, document generation, and image or video generation. The cost depends on the work done and the model used. Your account page shows exactly what you used, by day and by model.
- Running out. Work that has already been done is charged even if it takes your balance slightly below zero; the next request is then refused until credits are available. We never charge your payment method for credits you did not buy.
- Limits. Plans also limit things like the number of active projects and edits. We may apply fair-use limits, rate limits and abuse protections to keep the Services working for everyone.
- Hosted App running costs (for apps that use a server, database or storage) are metered separately from credits and shown in the site’s own usage view before you are billed.
Credits have no cash value, cannot be transferred or sold, and are not refundable except as section 9 allows.
8.Payments, renewals and tax
- Payments are processed by Razorpay. We never see or store your full card number, CVV or bank credentials.
- Prices are shown in Indian rupees to visitors in India and in US dollars elsewhere. The currency and tax you are charged are settled at checkout from the billing address you enter, and appear on your invoice.
- Prices exclude tax. Goods and Services Tax (GST) and any other applicable tax are added at checkout as the law requires.
- Subscriptions renew automatically at the end of each monthly or yearly period, at the price then in effect, until you cancel. We will tell you in advance of any price increase that affects an existing subscription.
- If a payment fails we may retry it, and if it still fails we may pause or end your paid plan.
- Every purchase has a tax invoice, which you can download from your account page.
- If you pay from outside India, you are responsible for complying with your own foreign-exchange rules, and your bank may add its own fees.
9.Refunds and cancellation
Cancelling
You can cancel at any time from your account page (“Manage or cancel plan”) or by emailing support@bridgeye.com. Your plan stays active until the end of the period you paid for and then does not renew. Purchased credits remain available.
Refunds
Payments are generally non-refundable. We will refund, at our discretion and to the original payment method:
- billing errors and duplicate charges;
- a period in which the Services were unavailable for more than 72 consecutive hours;
- a paid feature we failed to provide as described; and
- a first-time subscription cancelled within 7 days of purchase if you are unhappy (once per customer).
Approved refunds are processed within 14 business days, subject to Indian banking and tax rules. We do not refund part-used billing periods or credits already used.
10.Sites, apps and domains you publish
- When you publish a site or app, it becomes publicly reachable at its address. You are the publisher and are responsible for what it contains and does.
- Hosted Apps with users. If your app collects data from its own users (accounts, form entries, files), you decide what it collects and why. You are responsible to those users for it, including having a privacy notice and a lawful basis. We store and process that data on your behalf, only to run your app.
- Domains. Domains you buy through NOVA are registered with a domain registrar (such as ResellerClub or Spaceship). Registration requires sharing the registrant contact details you give with the registrar and the domain registry, under their rules. Domain fees are generally non-refundable once registered.
- We may take a site or app offline if it breaks these Terms or the law, puts others at risk, or if your plan no longer includes publishing. Where we can, we will tell you first.
11.Acceptable use
You agree not to use the Services, or let anyone else use them, to:
- break any law, or infringe anyone’s intellectual property, privacy or other rights;
- create or spread malware, phishing, credential theft, fraud or deceptive content, or attack systems you are not authorised to test;
- generate content that sexualises minors, promotes violence or terrorism, harasses people, or is otherwise unlawful under the Information Technology Act, 2000 and its rules;
- impersonate a person or organisation, or publish sites that pose as another brand;
- get around credits, plan limits, rate limits, authentication or other controls, or share or resell access;
- scrape, overload or interfere with the Services, or reverse engineer them except as the law allows;
- use Output to build a competing model or service in breach of a Model Provider’s terms; or
- use the Services where you are subject to sanctions, or in breach of Indian or other applicable export laws.
We may investigate suspected misuse and, where needed, remove content, restrict features, or suspend accounts. Model Providers also enforce their own usage policies, and a request they refuse is not a fault in the Services.
12.Availability and changes
We work to keep NOVA available and publish its status at our status page, including the servers and the AI models. We do not promise uninterrupted service: maintenance, provider outages and events outside our control can interrupt it.
We improve NOVA continuously. We may add, change or remove features. If we remove something material from a paid plan during a period you have paid for, we will tell you and offer a fair remedy.
If something is not working, use the Report an issue button on the status page or email support@bridgeye.com.
13.Our intellectual property
Bridgeye owns the Services: the software, the CLI, the NOVA API, our routing and context systems, our designs and documentation, and the NOVA and Bridgeye names and logos. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Services under these Terms. All other rights are reserved.
Parts of the CLI are open-source software under their own licences, which apply to those parts.
If you send us feedback or ideas, we may use them without any obligation to you.
14.Disclaimers
THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
In particular, we do not promise that Output will be correct, secure, free of bugs or vulnerabilities, original, or suitable for your purpose; that the Services will be uninterrupted or error-free; or that any Model Provider will perform as expected. Some jurisdictions do not allow these exclusions, so some may not apply to you.
15.Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, BRIDGEYE AND ITS DIRECTORS, EMPLOYEES AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY.
That includes losses from AI-generated code or content, from deploying Output, from the acts of Model Providers or other third parties, and from unauthorised access to your account that was not caused by our failure to take reasonable security measures.
Our total liability for all claims relating to the Services is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, and (b) ₹10,000.
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under Indian law.
16.Indemnity
You will defend and indemnify Bridgeye against third-party claims, and the resulting losses and reasonable costs, arising from your Content, the sites and apps you publish, your use of Output, or your breach of these Terms or the law. We will tell you promptly about any such claim and may take part in its defence.
17.Suspension, termination and deleting your account
You may stop using NOVA and delete your account at any time by emailing support@bridgeye.com from the email address on your account.
We may suspend or close your account, with notice where practical, if you seriously or repeatedly breach these Terms, if payment fails, if we must do so by law, or to protect users or the Services. If we discontinue the Services, we will give at least 30 days’ notice.
When your account is deleted, your data is deleted at the same time, as described in the Privacy Policy, except records we must keep by law (such as tax invoices). Published sites and apps go offline, and anything held in them is deleted. Unused credits and any remaining subscription period are forfeited unless a refund applies under section 9.
Sections that by their nature should continue — including ownership, disclaimers, limitation of liability, indemnity and governing law — survive termination.
18.Governing law and disputes
These Terms are governed by the laws of India. Subject to the steps below, the courts of Goa, India have exclusive jurisdiction.
- Talk to us first. Email support@bridgeye.com describing the issue. We aim to resolve it within 30 days.
- Mediation. If that fails, either of us may propose mediation in Goa, and both of us will take part in good faith.
- Arbitration by agreement. If we both agree, the dispute may be settled by arbitration under the Arbitration and Conciliation Act, 1996, seated in Goa and conducted in English.
Claims may be brought only individually and not as part of a class or representative action, to the extent the law allows. Nothing here stops you from using a consumer remedy that the law of your country gives you and does not allow to be waived.
19.Changes to these Terms
We may update these Terms as NOVA and the law change. For material changes we will give at least 30 days’ notice by email or in the product before they take effect; other changes take effect when posted, with the date above updated. Continuing to use the Services after a change means you accept it. If you do not, stop using the Services and you may close your account.
20.General
- These Terms, the Privacy Policy and any plan terms shown at checkout are the entire agreement between us about the Services.
- If a provision is unenforceable, it is changed to the minimum extent needed and the rest stays in force.
- Not enforcing a right is not a waiver of it.
- You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
- Neither of us is liable for delays caused by events beyond reasonable control, including failures of Model Providers, networks or power.
- Nothing here creates a partnership, agency or employment relationship.
- These Terms are written in English. If a translation conflicts with them, the English version applies.
